1. Acceptance of These Terms These Terms & Conditions ("Terms") are a binding agreement between you and Doral Tax & Accounting ("Doral Tax & Accounting," "we," "us," or "our"). They govern your access to and use of the website at doraltaxaccounting.com (the "Site") and your participation in our text messaging program described in Section 4.
By accessing the Site, submitting information through it, or opting in to receive text messages from us, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Site or opt in to our messaging program.
2. Our Services and the Site Doral Tax & Accounting is an accounting and advisory firm providing tax, accounting, and advisory services to businesses, including tariff refund analysis and documentation preparation services. The Site describes our services and provides ways to contact us and request consultations. Where our services involve the preparation of analyses or documentation related to government filings, we operate on a preparation-only basis: we prepare analyses and supporting documentation, and clients review, approve, and submit their own filings directly with the relevant government agency through their own accounts. We do not file on a client's behalf, and any refund, credit, or payment issued in connection with such a filing is issued by the government directly to the client.
3. No Client Relationship Without an Engagement; No Professional Advice via the Site The content on the Site is provided for general informational purposes only. It does not constitute accounting, tax, legal, customs, or other professional advice, and it is not a substitute for advice tailored to your specific circumstances. Using the Site, submitting a form, or communicating with us by phone, email, or text does not create a client relationship. A client relationship is formed only when both parties sign a written engagement agreement. Until then, do not send us confidential or sensitive information beyond what is reasonably necessary to evaluate a potential engagement. No outcome is guaranteed. Estimates, illustrations, or discussions of potential refunds or recoveries are informational only. Actual eligibility, amounts, and timing are determined by the relevant government agency based on the client's own records and filings, and past results do not guarantee future outcomes.
4. SMS/Text Messaging Terms These messaging terms apply when you opt in to receive text messages (SMS/MMS) from Doral Tax & Accounting (the "Messaging Program").
4.1 Program description The Messaging Program delivers conversational and informational text messages related to our accounting, tax, and tariff refund advisory services. Messages may include replies to your inquiries, consultation scheduling and appointment reminders, requests for information or documents, engagement and service updates, and informational or marketing messages about our services.
4.2 Consent and opt-in You may opt in to the Messaging Program by checking the SMS consent box on a form on our Site where you provide your mobile number, by providing your mobile number and consent to a member of our team, or by texting us to initiate or continue a conversation. Consent to receive text messages is not a condition of purchasing any goods or services. By opting in, you confirm that you are the subscriber or customary user of the mobile number provided and that you are at least 18 years of age. Message frequency varies. Message and data rates may apply. Charges are billed by and payable to your mobile carrier under your plan. To opt out: reply STOP to any message to cancel. You may also text QUIT, END, CANCEL, UNSUBSCRIBE, or OPT OUT. You will receive a onetime confirmation message, after which no further messages will be sent unless you opt back in. 4.3 Privacy of your mobile information Our collection and use of your mobile number and messaging data are described in our Privacy Policy. In summary: no mobile information will be sold or shared with third parties or affiliates for marketing or promotional purposes, and text messaging originator opt-in data and consent will not be shared with any third parties, excluding aggregators and providers of the text message services necessary to deliver messages to you.
4.4 Carrier and delivery disclaimer The Messaging Program is offered on an "as is" basis and may not be available in all areas at all times or on all carriers. Mobile carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your carrier and network availability, which are outside our control. We are not responsible for delayed or undelivered messages, or for any charges, errors, or fees caused by your carrier.
4.5 Number changes If you change or deactivate your mobile number, you agree to notify us promptly so we can update our records. You are responsible for messages sent to a number you no longer control if you fail to notify us of the change.
5. Acceptable Use of the Site You agree not to: Use the Site for any unlawful purpose or in violation of these Terms; Submit false, misleading, or fraudulent information through the Site or in communications with us; Attempt to gain unauthorized access to the Site, our systems, or other users' information; Interfere with or disrupt the operation of the Site, including by introducing malware or conducting denial-of-service activity; Scrape, harvest, or systematically extract content or data from the Site without our prior written consent; or Use the Site to infringe the intellectual property or other rights of any party. We may suspend or terminate access to the Site for any violation of these Terms.
6. Intellectual Property The Site and its contents — including text, graphics, logos, trademarks, page designs, tools, and other materials — are owned by or licensed to Doral Tax & Accounting and are protected by copyright, trademark, and other intellectual property laws. You may view and print Site content for your own informational, non-commercial use. Any other reproduction, distribution, modification, or use of Site content requires our prior written permission. "Doral Tax & Accounting" and associated logos are trademarks of Doral Tax & Accounting .
7. Third-Party Links and Content The Site may contain links to third-party websites, including government websites, for your convenience. We do not control and are not responsible for the content, accuracy, or privacy practices of third-party sites. A link does not imply endorsement. Your use of third-party sites is at your own risk and subject to their terms and policies.
8. Disclaimers THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components. Information on the Site may reference laws, regulations, and government programs that change frequently; we make reasonable efforts to keep content current but do not warrant its completeness or accuracy at any given time. Nothing in this section limits any warranty or obligation expressly set out in a signed engagement agreement between you and us.
9. Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, DORAL TAX & ACCOUNTING AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR THE MESSAGING PROGRAM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR THE MESSAGING PROGRAM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the above may not apply to you. This section does not apply to liability arising under a signed engagement agreement, which is governed by the terms of that agreement.
10. Indemnification You agree to indemnify, defend, and hold harmless Doral Tax & Accounting and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to (a) your violation of these Terms, (b) your misuse of the Site or the Messaging Program, or (c) your violation of any law or the rights of any third party.
11. Governing Law and Venue These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms, the Site, or the Messaging Program shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts.
12. Changes to These Terms We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, for material changes, provide additional notice as appropriate. Your continued use of the Site or continued participation in the Messaging Program after an update constitutes acceptance of the revised Terms. If you do not agree with a change, discontinue use of the Site and opt out of the Messaging Program by replying STOP.
13. General Provisions Entire agreement. These Terms and the Privacy Policy constitute the entire agreement between you and us regarding use of the Site and the Messaging Program, except as superseded by a signed engagement agreement for professional services. Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later. Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
